Along
with the prevalence of Internet and the germination of E-business, for
the first time the new Contract Law prescribes e-mails can be used as
the written contracts. As a brand-new action carrier, not only are
e-mails the contract format but also are the warranty of rights and
obligations of evidence. E-mails appeared in computer do not have big
difference from the ordinary text files, but the former one can be read
or listened by using the special software, such as word processors,
media software and so on. By that, the reliability is lower if the Party
prints the E-mails out, but exception getting the approval of the other
Party, because the modification of e-mails is easy to be done in
computer, moreover, the attachments such as: non-plain text and Html can
not be printed out along with the original e-mails some times. Then,
how to protect your e-mails’ evidence? Before
litigation, you can notarize the documents in local notary public office
or you can apply for perpetuation of evidence before litigation in local
People’s Court. It is better to browse source code and paste all
contents of e-mails into word processor, then print them out as the
evidence. The attachments in e-mails should be printed out based on the
original formats, but if it is the voice file you can record in
characters and then print out, at the same time you have to keep the
original voice file for evidence in court. In
the process of litigation, the Party can submit the educed e-mails in a
disk to the local People’s Court, if without dissidence by both
Parties, the printed e-mails can keep in the files after both Parties’
signature. Otherwise, the Local People’s Court will physically verify
the evidence, and both Parties will sign in the records of inspecting on
the ground. If
the Party just submits the printed file lacking of the original e-mails
in computer the printed file cannot be used as the evidence exception
the other Party recognizes it. Thereby,
there is a point of attention in business activities, including (1) The
business computer is using by the special person avoiding to disclose
business secrets or key files deleted by others by mistake, (2) It is
better to send encrypted e-mails, advising the password to the receiver
by other ways, (3) You’d better set up a separate file for special
business projects or business partners, it is convenient for you to find
out the files related with the business, which can avoid to be deleted
by mistake, (4) Backup the important e-mails, (5) Backup all e-mails
when reinstalling your computer system, (5)
And the key documents have to be prepared into the paper
documents, and then scan them to save as JPG or PDT formats, which can
not be easily be revised.
